The material described above (the "Material") is being submitted for your analysis, and suggestions as to development, revision, amendment and improvement (the "Analysis"). When the Analysis has been completed, you agree to destroy the script copy, if so instructed by me.

In any case, I (we) have kept a copy of the Material, and will not hold you liable should it be lost or destroyed. I (we) confirm that the Material submitted was created and written solely by me (us) and does not contain any material subject to copyright ownership by any other entity or person, except as disclosed by a document or contract attached.

I (we) understand that you will keep the Material
confidential, except as I (we) permit otherwise in writing.

It is also understood that any of your Analysis may
be used freely and incorporated in the Material, which shall remain my (our) sole copyright. I (we) acknowledge that copyright and ownership of the Analysis itself remains with you.

You agree that you will not use the Material in whole or in part, except that you may use your own Analysis for instruction either in your seminars or in printed form therein, or in your Development Service, provided that you do not identify me (us) or the title of the Material, except as permitted in writing by me (us). You may, however, reprint or publish extracts from your Analysis as examples for educational and/ or promotional purposes, provided neither I (we) nor the title of my (our) Material is identified.

However, I (we) also acknowledge that you may have in your files, or may have access to, stories, concepts, premises, and ideas for theatrical motion pictures, Movies of the Week, and other types of television productions, and that you are accepting or developing new ideas for motion pictures and television productions on an ongoing basis. I (we) also recognize that stories, concepts, premises and ideas, etc. often have similarities
in subject or other elements in common with each other.

If I (we) should bring any action against you for wrongful appropriation of the Material or any parts thereof , such action shall be limited to damages which shall in no event exceed the applicable Writers Guild of Canada rate for the use alleged. I (we) shall not be entitled to an injunction
or any other equitable relief. Should I (we) be
unsuccessful in any such action, I (we) assume, and agree to pay you upon demand all of your costs and expenses entailed in defending or contesting such actions.

I (we) agree that the fee for your analysis is $225
(Canadian) or $175 (US) upon submission of the
material, and that should the Material be sold as a
screenplay or television script, or produced into a
movie or television production, I (we) agree to pay to Create Your Screenplay a further $225 (Canadian) or $175 (US) immediately upon
signing any sale agreement or upon first day of
Principal Photography, whichever comes first.

I (we) warrant that I (we) have full power and authority to submit the Material to you on the foregoing terms and conditions, each and all of which shall be binding on me (us), my (our) agents, heirs, successors, licensees and assigns. This Agreement shall inure to your benefit and to the benefit of your employees, agents, successors, licensees and assigns. This Agreement shall be construed under the law and jurisdiction of the Province of Ontario, Canada. This Agreement may be executed in counterpart, and/or by email submission and acceptance.
